Latitude Terms of Service

1. Acceptance of Terms

These Terms are a legal agreement between you and Latitude App LLC, a Delaware limited liability company ("Latitude," "we," "us," or "our"). By downloading, installing, or using the Latitude mobile application ("App") or related services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Services. These Terms apply to all users of the App, including those who share location data and those who receive it.

2. Eligibility

You must be at least 13 years old to use Latitude. Users between 13 and 17 years old may only use the Services with the consent and active supervision of a parent or legal guardian. By allowing a minor to use the Services, the parent or guardian agrees to these Terms on the minor's behalf and accepts full responsibility for that minor's compliance and any consequences arising from their use.

Parental consent is obtained during account creation: a parent or guardian must create the account or confirm consent through the in-app consent screen before a minor's account is activated. If you believe a minor is using the Services without parental consent, please contact us at privacy@latitudelocation.com and we will promptly investigate and, where appropriate, suspend or delete the account.

Users under 13 are not permitted to use Latitude. See Section 9 of our Privacy Policy for our children's privacy practices.

3. User Accounts

Account Registration: You agree to provide accurate, complete, and current information when creating your account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

Account Security: Notify us immediately at support@latitudelocation.com if you believe your account has been compromised or accessed without authorization. You assume responsibility for all activity on your account until you notify us of a breach.

Account Termination: We reserve the right to suspend or terminate your account at any time for violations of these Terms or for conduct that we reasonably determine is harmful to other users, third parties, or Latitude.

4. Location Sharing and Consent

Approval Required to View Location: Viewing someone's location requires their explicit approval. You can send a connection request to any Latitude user by their phone number, but you may only see their location if they have approved your request. Follow relationships can be one-way — you may follow someone who does not follow you back, and vice versa. There is no silent or covert monitoring.

You Are Notified Every Time: You will receive a notification each time an approved connection accesses your location. This is a core feature of the Service and cannot be disabled.

Revocation of Consent: You may revoke any connection's access to your location at any time. When you remove a connection, that person will receive a notification that they have been unfollowed. You may also disable location sharing entirely through app settings or your device's system settings.

No Obligation to Share: You are never required to share your location with anyone. Approving a connection request is entirely voluntary.

Location Accuracy Limitations: Latitude relies on your device's GPS, network connectivity, and location permissions to determine and transmit your location. Location data may be imprecise due to GPS signal limitations, device settings, network conditions, or environmental factors. Latitude does not guarantee the accuracy of any location data displayed in the App.

Device Off or No Signal: Latitude can only report your location when your device is powered on, connected to a network, and has location permissions enabled. If your device is turned off, in airplane mode, out of range, or location permissions have been revoked, the App will not be able to retrieve a new location. In such cases, the App may display your last known location, clearly labeled as such, along with the time it was recorded. Latitude makes no representation that last known location data is current or accurate and assumes no liability for decisions made in reliance on it.

5. Not a Safety or Emergency Service

Latitude is a location-sharing convenience tool, not an emergency response or personal safety service. If you or someone you know is in danger, contact your local emergency services (e.g., 911 in the United States) immediately.

Latitude cannot guarantee real-time access to location data and expressly disclaims any liability for harm arising from reliance on the App during an emergency. You should not rely on Latitude in any safety-critical situation.

6. Subscription and Payments

Free Plan: The free tier allows location sharing with one approved connection.

Paid Plans: Monthly and annual paid plans allow unlimited connections. Current pricing is displayed in the App and through the applicable App Store.

Automatic Renewal: Paid subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date through your Apple App Store subscription settings.

Price Changes: We reserve the right to change pricing with at least 14 days' advance notice, delivered by email or in-app notification before the new price takes effect. Price changes will not apply to the current billing period; they will take effect at your next renewal. Continued use of a paid plan after a price change takes effect constitutes acceptance of the new price. If you do not accept the new price, you may cancel your subscription before the renewal date.

Refunds: Refunds are governed by the Apple App Store. We do not control App Store refund policies.

Group Discounts: Group plans are available for 2–12 members and apply discounts to both monthly and annual subscriptions. Groups are capped at 12 members.

Group Membership Changes: Members can be added to a group at any time during the billing cycle. When a new member is added mid-cycle, they are charged a pro-rated amount for the remainder of the billing period, processed through the App Store. Removing a member from a group is not pro-rated — no partial refund is issued for the unused portion of their subscription.

How Groups Work: Group membership is a billing arrangement only. The group owner purchases a group plan and controls who is included each billing cycle. Group membership does not automatically create a follow relationship between members — you can be in a group with someone without following them or being followed by them. Follow connections are managed separately within the App.

Account Termination Within a Group: If a group member's account is terminated by Latitude for violations of these Terms, the remaining group members will retain their group plan and discount for the remainder of the billing period.

7. Prohibited Conduct

You agree not to use the Services to:

Stalk, harass, threaten, or monitor: Use Latitude to track, surveil, harass, threaten, intimidate, or otherwise harm any person. The App is designed exclusively for consensual location sharing among trusted individuals.

Circumvent consent mechanisms: Attempt to access another user's location without their explicit approval, or to interfere with the notification system that alerts users when their location is accessed.

Access systems without authorization: Attempt to gain unauthorized access to Latitude's servers, databases, infrastructure, or another user's account.

Reverse engineer the App: Decompile, disassemble, or attempt to derive the source code or underlying architecture of the App.

Violate applicable law: Use the Services in any manner that violates local, state, national, or international law or regulation, including laws governing privacy, stalking, and electronic surveillance.

Share account credentials: Allow any third party to access your account or use your credentials on your behalf.

Violations of these prohibitions may result in immediate account termination and may be reported to law enforcement.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. LATITUDE EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Services will be uninterrupted, timely, or error-free; (b) location data will be accurate, real-time, or current; (c) the App will function correctly if your device is powered off, lacks network connectivity, or has location permissions disabled; or (d) the Services will be available at any particular time, including during emergencies.

You acknowledge that you rely on location data provided by the App at your own risk and that location information should never be used as the sole basis for decisions involving personal safety or emergency response.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, LATITUDE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICES. THIS INCLUDES, WITHOUT LIMITATION, DAMAGES ARISING FROM:

(a) Inaccurate, delayed, or unavailable location data;

(b) Service outages, downtime, or technical failures;

(c) Unauthorized access to your account by a third party, including through hacking, phishing, or credential theft;

(d) Misuse of the App by another user, including stalking, harassment, or surveillance;

(e) Your reliance on the App during an emergency or safety-critical situation;

(f) Deletion of your data following account termination.

Our total cumulative liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount you paid to Latitude in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not made any payments, our total liability shall not exceed $50.00 USD.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless Latitude and its officers, directors, employees, contractors, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) any claim by a third party that your use of the Services caused them harm.

11. Intellectual Property

All content within the App, including but not limited to software, design, graphics, trademarks, and service marks, are the exclusive property of Latitude or its licensors. Nothing in these Terms grants you any right to use Latitude's intellectual property without prior written permission.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you agree to the collection, use, and handling of your information as described in the Privacy Policy.

13. Dispute Resolution

Informal Resolution First: In the event of a dispute arising from these Terms or your use of the Services, you agree to first contact us in good faith at support@latitudelocation.com and attempt to resolve the dispute informally. If the dispute cannot be resolved informally within 30 days, the parties agree to proceed as set out below.

Small Claims Court: Either party may bring an individual claim in a small claims court of competent jurisdiction, provided the claim qualifies and remains in small claims court.

Binding Arbitration: For all other disputes, both parties agree to submit to final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, which are available at adr.org. The arbitration shall be conducted in English. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

No Class Actions: All arbitration proceedings shall be conducted on an individual basis. You and Latitude each waive the right to participate in a class action, class-wide arbitration, or any other representative proceeding.

Costs: AAA filing fees and arbitrator fees will be allocated in accordance with the AAA Consumer Arbitration Rules. Latitude will pay any fees required to be paid by applicable law or AAA rules.

14. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you by email or through an in-app notification at least 14 days before the changes take effect. Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of those changes. If you do not accept updated Terms, you may terminate your account before the effective date.

15. Service Changes and Discontinuation

We may modify, suspend, or discontinue features of the Services at any time. For material changes to core functionality, we will provide at least 14 days' notice by email or in-app notification.

If we discontinue the Services entirely, we will provide at least 30 days' advance notice and will offer pro-rated refunds for any unused portion of a prepaid annual subscription. During the notice period, you will retain access to the Services and may export any data accessible through the App.

We will never intentionally delete your account or data without notice except in cases of serious Terms violations, fraud, or as required by law.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware and, where applicable, the federal laws of the United States, without regard to conflicts of law principles. Any dispute not subject to arbitration under Section 13 shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Latitude with respect to the Services and supersede any prior agreements or understandings on this subject.
